Terms of Service

1. Acceptance of Terms

By accessing or using Nightwatch (the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Platform.

2. Description of the Platform

Nightwatch is a verified booking, identity, and private settlement platform connecting clients and service providers ("Providers"). The Platform facilitates scheduling, identity verification, escrow-backed payments, and secure communication between verified parties.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Platform. By registering, you represent and warrant that you meet these requirements. Providers are subject to additional identity verification ("KYC") requirements.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@nightwatch.xxx if you suspect unauthorized access.

5. SMS Messaging & Communications

By providing your mobile phone number and requesting a verification code, you expressly consent to receive transactional SMS messages from Nightwatch for account verification and security purposes. Message frequency varies based on account activity. Message and data rates may apply.

To opt out of SMS communications, reply STOP to any message. You will receive a single confirmation SMS and no further messages will be sent. For help, reply HELP or contact us at support@nightwatch.xxx.

Consent to receive SMS messages is not a condition of purchase or use of the Platform.

6. Booking, Payments & Escrow

Payments facilitated through Nightwatch are held in escrow and released based on verified booking milestones. The Platform uses cryptocurrency settlement (Monero / XMR) for privacy-preserving transactions. All bookings are binding upon acceptance by the Provider.

Refunds and disputes are subject to the Nightwatch Dispute Resolution Policy. Nightwatch does not guarantee Provider availability or service quality and is not a party to the underlying service agreement between clients and Providers.

7. Prohibited Conduct

• Creating false or misleading accounts or providing fraudulent identity information.
• Using the Platform for any unlawful purpose or in violation of any applicable law.
• Attempting to circumvent verification, escrow, or security mechanisms.
• Harassing, threatening, or abusing other users or Platform staff.
• Reverse engineering or attempting to extract the Platform's source code.

8. Intellectual Property

All content, trademarks, and software comprising Nightwatch are the property of FacilitiOps, LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. No other rights are granted.

9. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FACILITIOPS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF $100 OR THE FEES PAID BY YOU IN THE PRIOR 12 MONTHS.

10. Indemnification

You agree to indemnify and hold harmless FacilitiOps, LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved by binding arbitration in Denver, Colorado under the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

12. Changes to These Terms

We may update these Terms periodically. We will notify you of material changes by posting the revised Terms with a new Effective Date and, where appropriate, by email or in-app notification. Continued use after a revision constitutes acceptance.
